Description:	december 23 1987 city of terre haute 265 respectfully submitted larry kirchner james cook william thompson the committee report was unanimously accepted as favorable by the common council motion was made by mr duby and seconded by mr thompson that special ordinance no 85 1987 be amended motion carried 6 yes and 0 no special ordinance no 85 1987 an ordinance authorizing the issuance and sale of city of terre haute indiana solid waste disposal revenue bonds series a international mineral & chemical corporation project in an amount not exceeding 4,000,000 for the purpose of making a loan to international mineral & chemical corporation in order to finance the acquisition and installation of certain solid waste disposal facilities located in the city of terre haute authorizing the execution of a loan agreement an indenture of trust an offering memorandum a bond purchase agreement an arbitrage regulation agreement and a representation and indemnity agreement approving the terms of said bond and related matters whereas the city of terre haute indiana hereinafter called the city and/or the issuer is a municipal corporation of the state of indiana and by virtue of indiana code title 36 article 7 chapter 12 as amended hereinafter called the act is authorized and empowered to adopt this ordinance the bond ordinance and to carry out its provisions whereas international minerals & chemical corporation the company is a corporation duly organized and existing under and by virtue of the laws of the state of new york and duly qualified to conduct business in the state of indiana and whereas the common council of the city of terre haute indiana the common council has heretofore pursuant to the act created the terre haute economic development commission the commission and the members of the commission have been duly appointed and qualified pursuant to law and the commission has organized and undertaken the duties imposed upon it by the act and has found by written resolution that because of insufficient abatement or control of pollution by industry the health and welfare of the city will be benefited by the acquisition construction installation and use by the company of pollution control facilities and whereas after giving notice in accordance with the act the commission held a public hearing on december 23 1987 with regard to the proposed financing and on december 23 1987 adopted resolution no 87-2 finding the proposed financing will be of benefit to the health and welfare of the city and complies with the act approving the form and terms of a bond purchase agreement the bond purchase agreement between the city and lazard freres & co the underwiter an indenture of trust dated december 1 1987 the indenture between the city and merchants national bank of terre haute as trustee the trustee a loan agreement dated as of december 1 1987 between the city and the company the loan offering memorandum of the city with regard to the bonds described below an arbitrage regulation agreement dated as of december 1 1987 the arbitrage regulation agreement among the city the company and the trustee a representation and indemnity agreement the representation and indemnity agreement among the company the issuer and the underwriter and the city of terre haute indiana solid waste disposal revenue bonds series a international meinerals & chemical corporation project the bonds proposed to be issued by the city the bond purchase agreement the indenture the loan agreement the preliminary offering memorandum the arbitrage regulation agreement and the representation and indemnity agreement are collectively referred to herein as the financing documents now therefore be it ordained by the common council of the city of terre haute indiana as follows section 1 the words and terms used in this ordinance shall have the meanings indicated in the text hereof and in the financing documents unless the context clearly indicates a different meaning section 2 the common council of the city hereby finds and determines the following a the act authorizes the city to acquire construct and install the project as described in the loan agreement and to issue the bonds to pay the cost of acquiring constructing and installing the project and
